To enter into a deed of novation with Rossendales Ltd (Rossendales) and Marston (Holdings) Ltd (Marston) which will affect the transfer of all contractual obligations from Rossendales to Marston and release Rossendales from all liabilities associated with the said contract and bestow those liabilities upon Marston.

To enter into the deed of novation with Rossendales Ltd and Marston (Holdings) Ltd.

Reasons for the decision:

The deed of novation will allow the current contract for the provision of Enforcement Agent services to continue.

Alternative options considered:

The alternative would be to not enter into the deed of novation. The consequence of this would be that all decisions relating to the contract would fall to Marston as the “parent” company and any decision to wind up Rossendales would result in the termination of the existing contract and therefore the loss of the provision of Enforcement Agent services to the Council.
